The Board of Directors (the "Board") of CARsgen Therapeutics Holdings Limited (the “Company”, together with its subsidiaries and consolidated affiliated entities, the “Group” or “CARsgen”) deeply regrets to announce that Mr. Bingsen GUO (“Mr. Guo”), a non-executive Director of the Company, passed away peacefully on September 24, 2025.

Mr. Guo had served the Group for more than 10 years. Leveraging his profound business acumen and outstanding entrepreneurial experience, he had always been a core pillar of support for the Group's development. At critical junctures including the Group's strategic transformation, business breakthrough initiatives, and risk mitigation endeavours, Mr. Guo was ever present. His precise decisions and dedicated support helped the Group overcome development bottlenecks on multiple occasions and laid a crucial foundation for the steady advancement of its business. On behalf of the Group, the Board extends its deepest condolences to Mr. Guo's family and conveys its most sincere gratitude and highest respect for Mr. Guo's devoted dedication and valuable contributions to the Group over the years.
